Terms of service

Introduction
These Terms and Conditions govern all sales and supply of goods by Excel Med Supplies (“we”, “our”, “us”) to customers (“you”, “your”). By placing an order with us, you agree to be bound by these Terms.

Definitions
• Goods: Any products or equipment supplied by us.
• Customer: The purchasing party (business or individual).
• Contract: Agreement formed when we accept your order.
• Business Day: Monday to Friday, excluding bank holidays.
Orders & Contract Formation
• Orders may be placed online, by phone, or by email.
• A contract is formed only once we issue an Order Confirmation.
• We reserve the right to refuse or cancel any order.
• Customers must provide accurate delivery, billing, and compliance details.

Pricing & Payment

• All prices are in GBP and exclude VAT unless stated.
• Public customers: Payment in full at order placement.
• Business accounts: Subject to agreed credit terms.
• Payment methods include bank transfer, debit/credit card, or account facilities.

Delivery
• Delivery times are estimates and not guaranteed.
• Risk transfers upon delivery; title transfers once full payment is received.
• We are not liable for courier delays or circumstances beyond our control.

Returns & Refunds
• Returns must follow our Return Policy.
• Non-returnable items include sterile products, consumables, and pharmaceuticals unless faulty.
• Refunds are only processed after inspection and approval.

Warranties
• We warrant that goods will conform to description and purpose.
• Manufacturer warranties apply to equipment and must follow their process.
• Does not cover misuse, neglect, or improper storage.

Liability
• Liability is limited to the value of goods supplied.
• We are not responsible for consequential losses (e.g., business interruption).

• Nothing excludes liability for death, injury, fraud, or cases not excludable by law.
Compliance & Regulation
• We comply with MHRA guidelines, UK medical device laws, and consumer protection law.
• Customers must ensure products are used as intended by qualified personnel.

Data Protection & Privacy
• Personal data is processed in line with our Privacy Policy and UK GDPR.
• Data may be shared with logistics, payment, and regulatory partners where necessary.

Force Majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including
natural disasters, strikes, supplier failures, or pandemics.

Termination
We may terminate a contract if:
• Payment is not made as agreed.
• You breach these Terms.
• We believe goods may be misused, resold without authorisation, or supplied unlawfully.

Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
